PTCorp General Terms of Service

These General Terms apply to all software, platforms, applications, APIs, and services provided by PTCorp Pty Ltd trading as PoweredByPTCorp.

Important: These General Terms form the base agreement for all PTCorp products. Product-specific terms (for example, PTRE Terms) may apply in addition and may override these General Terms only to the extent stated.

1. Agreement Structure & Acceptance

This agreement (“General Terms”) governs your access to and use of any PTCorp services, products, or applications (“Services”).

By accessing, registering for, purchasing, or using any Services, or by clicking “I agree” (or similar), you agree to be bound by these General Terms.

If you accept these General Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

Order of precedence

This agreement consists of:

  • (a) an accepted order, proposal, or checkout (“Order”);
  • (b) any Product-Specific Terms;
  • (c) these General Terms; and
  • (d) PTCorp policies, including Privacy, Data Retention and Deletion, and Cookies.

If there is an inconsistency, the documents prevail in the order listed above.

2. Definitions

  • Account means the account used to access the Services.
  • Authorised User means a person permitted by you to access the Services.
  • Customer, you means the individual or entity using the Services.
  • Customer Data means all data submitted or processed via the Services.
  • Intellectual Property Rights includes copyrights, trademarks, patents, trade secrets, and similar rights.
  • Law means all applicable laws, regulations, and codes in any jurisdiction.
  • Product-Specific Terms means terms that apply only to a particular PTCorp product.
  • Services means all PTCorp software, applications, APIs, platforms, and related services.
  • Subscription means time-based or usage-based access to the Services.

3. Provision of Services

Subject to payment of applicable fees and compliance with this agreement, PTCorp grants you a non-exclusive, non-transferable, revocable right to access and use the Services during the Subscription term.

PTCorp may modify, suspend, or discontinue any part of the Services at any time, including features, functionality, or integrations.

4. Customer Responsibilities

  • You are responsible for all activity conducted through your Account.
  • You must keep login credentials secure and confidential.
  • You must ensure your use of the Services complies with all applicable Laws.
  • You are responsible for your systems, internet access, backups, and security controls.

No advice

The Services are provided as tools only. PTCorp does not provide legal, accounting, financial, tax, compliance, trust accounting, or professional advice. You must obtain independent advice where required.

5. Acceptable Use

You must not:

  • reverse engineer or attempt to derive source code (except where prohibited by law);
  • scrape, crawl, mine, or harvest data except via approved features;
  • introduce malware or interfere with platform security;
  • use the Services unlawfully or in a way that infringes third-party rights;
  • use the Services to develop or support competing products;
  • excessively consume resources in a way that degrades the Services.

6. Fees & Payment

Fees are payable as specified in the applicable Order. Unless otherwise stated, fees are billed in advance and are non-refundable except as required by law.

PTCorp may suspend access for non-payment and may charge reasonable recovery costs and interest permitted by law.

7. Intellectual Property

PTCorp retains all rights, title, and interest in the Services and all related Intellectual Property. No rights are granted except as expressly stated.

You grant PTCorp a limited licence to host, process, and display Customer Data solely to provide the Services.

Feedback

Any feedback or suggestions you provide may be used by PTCorp without restriction or compensation.

8. Data, Privacy & Security

You retain ownership of Customer Data. PTCorp will process Customer Data to provide, secure, support, and improve the Services, consistent with applicable Privacy Laws and PTCorp policies.

PTCorp implements reasonable technical and organisational security measures but does not guarantee absolute security.

9. Suspension & Termination

PTCorp may suspend or terminate access immediately if:

  • fees are overdue;
  • there is a security or legal risk;
  • you breach this agreement;
  • required by law or regulator.

On termination, access ends and outstanding fees become payable. Subject to applicable law, an accepted Order and the rights of affected individuals, export or return of Customer Data will be handled under the applicable service agreement and the Data Retention and Deletion Policy.

10. Warranties & Disclaimers

Nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.

To the maximum extent permitted by law, the Services are provided “as is” and “as available”. PTCorp disclaims all implied warranties, including fitness for purpose and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, PTCorp is not liable for indirect, incidental, special, or consequential losses (including loss of profit, revenue, data, or business).

PTCorp’s total aggregate liability is limited to the fees paid for the Services in the three (3) months preceding the event giving rise to the claim, unless otherwise required by law.

12. Indemnity

You indemnify PTCorp against losses arising from your unlawful use of the Services, breach of this agreement, or violation of third-party rights.

13. Force Majeure

PTCorp is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, outages, cyber incidents, or government action.

14. General

  • Assignment: You may not assign without PTCorp’s consent. PTCorp may assign freely.
  • Variation: PTCorp may update these terms with reasonable notice.
  • Governing law: Queensland, Australia.
  • Severability: Invalid provisions are severed without affecting the remainder.
  • Survival: Clauses intended to survive termination do so.
